1. Acceptance of Terms

Vision Finance ("the Service") is operated by Vision Financial, Inc., a Delaware corporation ("Vision Finance," "we," "our," or "us"). By accessing or using the Service at visionfinance.app, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Vision Finance is a personal finance dashboard that aggregates data from your linked financial accounts to provide portfolio tracking, net worth analysis, budget management, and tax-aware reporting. The Service connects to financial institutions through Plaid, a third-party data aggregation provider.

3. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@visionfinance.app

5. Financial Data & Plaid

By linking your financial accounts, you grant Vision Finance and Plaid Inc. ("Plaid") the right, power, and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy.

You further acknowledge that:

• Vision Finance does not store your bank login credentials — all credential exchange is handled by Plaid
• Financial data displayed may be delayed or subject to processing times by your financial institution
• You can disconnect any linked account at any time, which revokes Plaid's access to that institution on your behalf

6. Not Financial Advice

Vision Finance is an informational tool only. The Service does not provide financial, investment, tax, or legal advice. Any insights, projections, or recommendations displayed are for informational purposes only and should not be relied upon as the sole basis for making financial decisions.

You should consult with a qualified financial advisor, tax professional, or attorney before making any financial decisions. Vision Finance is not a registered investment advisor, broker-dealer, or tax preparer.

This applies to every analytical feature of the Service, including but not limited to:

• Sell Simulator & tax estimates: Projected gains, holding-period treatment, and tax figures use simplified, flat illustrative rates and do not account for your full income, state taxes, filing status, wash-sale rules, or other factors. They are estimates only — not investment or tax advice. Consult a licensed tax or financial professional before selling any security.
• Card optimization & rewards: Card recommendations and reward projections are estimates based on published card terms and your recent spending. Card terms, rates, and sign-up bonuses change and should be verified directly with the issuer. Applying for new credit cards may affect your credit score. These recommendations are not financial advice.

7. Data Accuracy

While we strive to display accurate financial data, Vision Finance does not guarantee the accuracy, completeness, or timeliness of any information. Data is sourced from your financial institutions via Plaid and may contain errors, delays, or discrepancies. You should verify all information against your official account statements.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' data
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service
• Share your account access with unauthorized parties
• Interfere with or disrupt the Service's infrastructure

9. Intellectual Property

All content, design, code, and branding of Vision Finance are the intellectual property of Vision Financial, Inc. You may not copy, modify, distribute, or create derivative works without prior written consent.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, Vision Finance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Financial losses based on information displayed in the Service
• Loss of data or unauthorized access to your data
• Service interruptions or errors
• Actions taken based on insights or recommendations shown in the Service

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Vision Financial, Inc., its officers, founders, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms or for any reason at our discretion. You may terminate your account at any time by contacting support@visionfinance.app. Upon termination, your data will be handled in accordance with our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Beta Program

Vision Finance is currently in beta. By participating in the beta program, you acknowledge and agree that:

• The Service is under active development and may contain bugs, errors, or incomplete features
• The Service may experience scheduled or unscheduled downtime for maintenance and updates
• Features may be added, changed, or removed without prior notice
• While we take reasonable measures to protect your data, data loss is possible during the beta period
• We reserve the right to reset, migrate, or delete beta user data if required for technical reasons, with reasonable notice when possible
• The beta program may be discontinued at any time

Beta access is provided by invitation only. Sharing your account or invitation with unauthorized parties may result in termination of access.

16. Subscription & Billing

If you subscribe to a paid plan:

• Trial period: If offered a free trial, it converts to a paid subscription at the end of the trial period unless you cancel beforehand.
• Auto-renewal: Paid subscriptions renew automatically at the end of each billing period at the then-current rate. You authorize us (through our payment processor, Stripe) to charge your payment method.
• Cancellation: Cancel any time from Settings. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not provide prorated refunds for partial periods except where required by law.
• Price changes: We will notify you by email at least 30 days before any price increase takes effect on your next renewal.
• Refunds: Subscription fees are generally non-refundable. Refund requests are evaluated case-by-case; California residents may have additional rights under state law.
• Failed payment: If your payment fails, we will retry according to our payment processor's dunning schedule and may suspend access to paid features until payment is resolved.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Arbitration agreement. Except for claims for injunctive relief or small-claims court, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS or the American Arbitration Association under their consumer rules, and not in a class action or representative proceeding. This arbitration agreement does not prevent you from contacting your state attorney general or a similar consumer-protection agency.

Opt-out. You may opt out of this arbitration agreement by emailing support@visionfinance.app within 30 days of first accepting these Terms. Opting out does not affect the other Terms.

Class-action waiver. You and Vision agree that any dispute shall be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
